1. Who we are and acceptance
Fyliio is a brand of GENLUNO, a sole proprietorship owned by Abhishek Bharti, registered in India under Udyam registration UDYAM-BR-07-0085324 (“GENLUNO”, “we”, “us”). These terms are an agreement between GENLUNO and the firm that uses Fyliio (“you”, the “firm”).
By registering a staff account, accessing the workspace, paying for a plan, or having us set up your firm on Fyliio, you accept these terms on behalf of your firm. You confirm that you have authority to bind the firm. Fyliio is meant for businesses, not personal or household use.
2. The service
Fyliio provides WhatsApp document collection, closed-world classification, completeness checks, staff review, a collection board, conversation audit, and packet export. It is not tax computation, GSTN filing, Tally integration, or a client portal.
- We may change or pause features, with notice when the change is material.
- Pilot workspaces are provisioned manually and may be limited in client volume.
- Meta’s WhatsApp Cloud API rules, templates, and messaging tiers apply to outbound messages.
3. Your responsibilities
3.1 Professional judgment
You remain responsible for professional judgment, filing deadlines, and the accuracy of returns. A complete packet in Fyliio does not mean a return is correct or filed.
3.2 Client notice, consent, and WhatsApp
You confirm that you may message the imported WhatsApp numbers for document collection, that you have given clients any notice the law requires, and that you have a lawful basis to store their financial documents. You honour opt-out requests you receive.
3.3 Accounts
Keep staff memberships current. Safeguard passwords. Do not share staff credentials with clients. Tell us promptly about any unauthorized access.
4. Acceptable use
Do not probe other firms’ data, forge webhooks, overload the ingest path, or upload content you have no right to process. Do not use Fyliio to message WhatsApp users outside a genuine document collection relationship.
5. Fees, billing and automatic renewal
5.1 Prices. Plans and prices are shown on the Pricing page, or agreed in writing for pilots and custom plans. The currency, the price and the billing interval (monthly, or annual where agreed) are shown before you pay.
5.2 Payment processor. Payments are processed by our payment processor. We do not see or store your full card number. The payment processor’s terms and privacy policy apply to the payment.
5.3 Automatic renewal (recurring billing). Paid plans are subscriptions that renew automatically at the end of each billing period, at the price then in effect, using your saved payment method, until you cancel. You can cancel at any time as described in our Refund and cancellation policy. Cancellation takes effect at the end of the current billing period. We send a reminder email at least 7 days before each annual renewal.
5.4 Indian cards and UPI: RBI e-mandate. If you pay with a card or UPI issued in India, you will be asked to register a recurring-payment e-mandate, as required by the Reserve Bank of India, and to authenticate it once (for example with 3-D Secure or your UPI PIN). Before each renewal charge, your bank or UPI app will send you a pre-debit notification at least 24 hours in advance, showing the amount, the date and the merchant. You can use it to opt out of that charge or cancel the mandate. Recurring charges above ₹15,000 (or the maximum amount on your mandate) need you to authenticate each time. If you do not, the payment will fail. Cancelling a mandate with your bank stops future charges, but it does not cancel your subscription with us. Please also cancel by email.
5.5 Taxes. Prices exclude taxes unless stated otherwise. We are not yet registered for GST, so our invoices do not include GST. We will update these terms once we are registered. Customers outside India are responsible for any taxes due in their own country.
5.6 Failed payments. If a payment fails, we retry for 7 days and notify the firm admin. After that, we may pause the workspace until payment succeeds.
5.7 Price changes. We give at least 30 days’ notice by email before a price change takes effect. A price change applies from your next renewal after the notice period. If you do not agree, cancel before then.
5.8 Refunds. Refunds and cancellations are governed by our Refund and cancellation policy, which forms part of these terms.
6. Data protection
For client data, your firm is the Data Fiduciary and Fyliio acts as your Data Processor, as described in the Privacy policy and Data policy.
7. Intellectual property
The product, copy, and trademarks remain GENLUNO’s. Client documents and checklists you upload remain the firm’s and the client’s. Classification metadata is generated to operate the service.
8. Availability and third parties
WhatsApp, model inference, and object storage can fail independently of Fyliio. We design for persist-then-process on webhooks so an acknowledged inbound file is not dropped from our queue. We do not warrant Meta uptime or template approval timelines.
9. Liability
Fyliio is not liable for missed filing deadlines because a client did not send documents, because a staff member waived an item, or because WhatsApp or GSTN was unavailable. To the extent permitted by Indian law, liability is limited to fees paid by the firm in the three months before the claim.
10. Cancellation and termination
You may cancel at any time under the Refund and cancellation policy. We may suspend or end your access if you materially breach these terms (including clause 4, Acceptable use) or fail to pay. Where the breach can be fixed, we give 15 days’ written notice first. When a plan ends, a firm admin may request an export of packets for 30 days. After that, we delete the workspace as described on the Data deletion page.
11. Governing law and jurisdiction
These terms are governed by the laws of India. Subject to any dispute-resolution step the parties agree in writing, the courts at Bhagalpur, Bihar have exclusive jurisdiction over any dispute arising from these terms or the service.
12. Changes
Material changes get at least 30 days’ notice on this page or by email to the firm admin. Continued use after that is acceptance. Questions: contact.
13. Contact and notices
Notices to us: by email to support@fyliio.com. Notices to you go to the firm admin’s registered email. Complaints: see our Grievance Officer.
